LIMITED PROXY

Member Company, (insert Member Company Name), a Class A voting member of Business Process Management Initiative, a California non-profit mutual benefit corporation (“BPMI”), appoints Philip Lee, BPMI Director of Operations - "Company Representative" as its proxy to attend the meeting of BPMI members on June 28, 2005, and any adjournment of that meeting, and to vote such Class A membership for the election to adopt the Memorandum of Understanding (MOU).

Purpose

BPMI and OMG wish to continue the work and mission of BPMI within the OMG process, as part of the work of a new OMG Domain Task Force formed by combining BPMI and OMG’s Business Enterprise Integration Domain Task Force (BEIDTF).

If not previously revoked, this proxy shall terminate at the conclusion of said meeting.

The proxy-holder may vote once per Class A member-company.
